No conference call or video call, and no materials distributed by or on behalf of Coherent in connection with such calls, may be recorded, reproduced, summarized and/or distributed to any third party without the prior written consent of Coherent, Inc.

If the parties plan to share confidential information during such a meeting:

  1. There must be an active agreement (containing non-use and non-disclosure provisions) in place at the time of the video conference;
  2. The confidential information may only be shared for the "purpose" set forth in such agreement;
  3. Any physical documents containing confidential information that is shared with a third party must be marked "Coherent Confidential"; and
  4. Before disclosing any confidential information orally or visually that employee must announce that the information they are disclosing is Coherent confidential information and that, if required by the applicable confidentiality agreement, they must reduce such information to a written summary and provide that summary to the other parties within the time frame set forth in the applicable confidentiality agreement.
